ARTICLE I
Member's Meetings

Section 1. PLACE OF MEETINGS. All meetings of the members shall be held in the City of San Diego, California at a place designated by the President or Secretary-Treasurer.

Section 2. ANNUAL MEETINGS. The annual meeting of the members shall be held the first Tuesday of April in each year, if not a legal holiday, or if not the Tuesday preceding Easter. If such conflict occurs, then on the next succeeding Tuesday at the hour of 8:00 p.m.

Section 3. SPECIAL MEETINGS. Special meetings of the members may be called at any time by the President or by three (3) Directors, or by any twenty-five (25) or more voting members. 

Section 4. NOTICE OF MEETINGS. Notice of meetings, annual or special, shall be given in writing to all members, voting and non-voting. Said notice shall be sent to the member's address appearing on the books of the Club not less than ten (10) days before such meeting. Notice of any meeting of the members shall specify the place, the day and the hour of the meeting, and the general nature of the business to be transacted.

Section 5. QUORUM. There shall be a quorum present at any meeting when there is 20 percent of the voting membership present. Any action taken by a majority of said quorum shall be binding on the entire membership of this Club.

Section 6. VOTING RIGHTS: CUMULATIVE VOTING. Only Charter, Active and Honorary Life members shall have the right to vote. Every member having voting privileges shall be entitled to only one vote. There shall be no cumulative voting.

Section 7. PROXIES. There shall be no voting by proxy. 

 

ARTICLE II
Directors
Section 1. POWER.
Subject to the limitations of the Articles of Incorporation, of the By-Laws and of the Laws of the State of California as to action to be authorized or approved by the members, all corporate powers shall be exercised by or under authority of, and the business and affairs of this Club shall be controlled by, a Board of Directors.

The Board of Directors shall have the power and authority, acting by a majority vote or in unanimous quorum, to suspend or expel any member for infraction of the Articles of Incorporation, the By-Laws, or any rules or regulations of this Club, or for conduct which in the opinion of the

Board shall be deemed prejudicial to the best interests of the Club.

The Board of Directors shall have the power to prepare and publish, on behalf of and in the name of this Club, rules and regulations with which each and every member must comply to continue as a member in good standing.

Section 2. NUMBER AND QUALIFICATION. The authorized number of Directors of the Club shall be nine (9), until changed by amendment to this Section 2, Article II, of these By-Laws, adopted by the vote or written assent of the members entitled to vote.

Section 4. ELECTION AND TENURE OF OFFICE. There shall be nine (9) Directors, three of whom shall be elected each year during the month of January and said Directors shall hold office for a term of three (3) years. No Director shall be elected to serve or hold office for two (2) consecutive threeyear terms.

The term of office of said Directors shall commence with the annual meeting of the Board of Directors next following their election, which shall be held on the third Tuesday of February each year.

Section 5. REMOVAL. The entire Board of Directors or any individual Director may be removed from office by a vote of the members holding 51 percent of the outstanding memberships entitled to vote at an election of Directors.

Section 6. VACANCIES. Vacancies in the Board of Directors shall be filled by a majority of the remaining Directors thereof, though less than aquorum, or by a sole remaining Director; and each Director so elected or appointed shall hold office for the unexpired term of the Director he replaced.

Section 7. PLACE OF MEETINGS. The Meetings of the Board of Directors shall be held at The Marlin Club, San Diego, California, unless another place be designated by the President. 

Section 8. ANNUAL MEETING. The annual meeting of the Board of Directors shall be held on the third Tuesday in February in each year, if not a legal holiday, and if a legal holiday, then on the next succeeding Tuesday, at the hour of 8:00 p.m.

Section 9. REGULAR MEETINGS. Regular meetings of the Board of directors shall be held on the first Monday in April, July and November of each year, at 8:00 p.m.

Section 10. SPECIAL MEETINGS. Special meetings of the Board of Directors for any purpose or purposes shall be called at any time by the President or any three (3) Directors. Written notice of the time and place of special meetings shall be delivered personally to the Directors, or sent to each Director by mail, addressed to him at his address as shown on the records of Club. Said notice shall be mailed or delivered personally at least five (5) days prior to the time of the holding of the Meeting.

Section 11. WAIVER OF NOTICE. The presence at any meeting of a member of the Board of Directors shall constitute, without further action on the part of anyone, his waiver of notice of said meeting.

Section 12. CHAIRMAN OF THE BOARD OF DIRECTORS. The Presidentof this Club shall be the Chairman of the Board and shall preside at all meetings of the Board of Directors.

 

ARTICLE III

Section 1 . OFFICERS. The officers of this Club shall be a President, Vice President, Second Vice President and Secretary-Treasurer.

Section 2. ELECTION. The officers of this Club shall be chosen annually by the Board of Directors at their annual meeting following their election, and shall hold office for a period of one year.

Section 3. SUBORDINATE OFFICERS, COMMITTEE CHAIRMEN, ETC.  The Board of Directors may appoint such other officers as the business of the Club may require, each of whom shall hold office for such period, having such authority and performance of such duties as are provided in the By-Laws or as the Board of Directors may from time to time determine.

Section 4. REMOVAL AND RESIGNATION. Any officer may be removed, either with or without cause, by a majority of the Directors at that time in office, at any regular or special meeting of the Board; or, except in case of an officer chosen by the Board of Directors, by an officer upon whom such power of removal may be conferred by the Board of Directors.   Any officer may resign at any time by giving written notice to the Board of Directors or to the President, or to the Secretary-Treasurer of the Club. Any such resignation shall take effect at the date of the receipt of such notice or at any later time specified therein; and, unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective.

Section 5. VACANCIES. A vacancy in any office caused by any reason whatsoever shall be filled in the manner prescribed in the By-Laws for regular appointments to such office (Article 111, Section 2).

Section 6. PRESIDENT. The President shall be the chief executive officer of the Club, and shall, subject to the control of the Board of Directors, have general supervision, direction and control of all the business and the officers of the Club. He shall be an ex-officio member of all the standing committees and shall have the general powers and duties of management usually vested in the office of president of a non-profit corporation, and shall have such other powers and duties as may be prescribed by the Board of Directors or by the By-Laws.

Section 7. FIRST VICE PRESIDENT. In the absence or disability of the President the Vice President shall perform all the duties of the President; and when so acting shall have all the powers of and be subject to all of the restrictions upon the President. The Vice President shall have such other powers and perform such other duties as from time to time may be prescribed for him by the Board of Directors or by the By-Laws.

Section 8. SECOND VICE PRESIDENT. In the absence or disability of the President and Vice President, the Second Vice President shall perform all the duties of the President, and when so acting shall have all the powers of and be subject to all of the restrictions upon the President.  The Second Vice President shall have such other powers and perform such other duties as from time to time may be prescribed for him by the Board of Directors or by the By-Laws.

Section 9. SECRETARY-TREASURER. The Secretary-Treasurer shall keep, or cause to be kept, a book of minutes at The Marlin Club, or at such other place as the Board of Directors may order, of all the meetings of the Directors and members, with the time and place of holding; whether regular or special, and if special, how authorized; the notice thereof given; the names of those present at the Directors meetings; and the number of members present or represented at members meetings; and the proceedings thereof.  The Secretary-Treasurer shall keep in the minute book a register of the membership, which shall provide for the date of membership, the name and address of the member, and the date of termination of membership. The Secretary-Treasurer shall give, or cause to be given, notice of all meetings of the members and of the Board of Directors as required by the ByLaws.  The Secretary-Treasurer shall keep and maintain, or cause to be kept and maintained, adequate and correct accounts of properties and business transactions of the Club. The Secretary-Treasurer shall provide access to the books of account at ali reasonable times for inspection by any Director.  prescribed from time to time by the Board of Directors or the By-Laws.  The Secretary-Treasurer shall deposit all monies and other valuables in the name and to the credit of the Club with such depositories as may be designated by the Board of Directors. He shall disburse the funds of the Club as may be ordered by the President or by the Board of Directors, and have such other powers and perform such other duties as may be

 

ARTICLE IV
Standing Committees

Section 1. ELECTION COMMITTEE. The President, with consent of the Board of Directors, shall select five (5) voting members to comprise the Election Committee, one of whom he shall designate as Chairman.  The Election Committee, except in the year 1959, shall propose a ballot, consisting of six (6) active members, three (3) of whom shall be elected as Board members. The Election committee shall prepare said written ballots, with the names of all members so nominated and with 5 blank lines provided to permit the write-in of other names, and mail said ballots,  together with a return envelope addressed to the Election Committee, to reach the voting membership of this Club prior to January 10 of eachyear. Said ballots shall designate thereon that the return envelope containing the ballot must be postmarked no later than January 31.

Section 2. HOUSE COMMITTEE. The President, with consent of the Board of Directors, shall select five (5) voting members to comprise the House Committee, one of whom he shall designate as Chairman. The House Committee shall have general supervision of the Club House and premises.

Section 3. MEMBERSHIP COMMITTEE. The President, with consent of the Board of Directors, shall select five (5) voting members to comprise the Membership Committee, one of whom he shall designate as Chairman.  Applications for membership may be submitted at any time. Every application for membership in this Club shall be directed to the Membership Committee. Said committee shall post the name of every applicant on the Club bulletin board for ten (10) days during the period from the official opening of the Marlin Club to November 30 each year. After posting said applicant's name as aforesaid and examining his application, said committee shall report their findings and recommendations to the Board of Directors, provided, however, that said applicants shall be deemed a member of The Marlin Club one calendar day subsequent to receipt of his application for membership, together with initiation fees and dues.

Section 4. TACKLE COMMITTEE. The President, with consent of the Board of Directors, shall select five (5) voting members to comprise the Tackle Committee, one of whom he shall designate as Chairman. The Tackle Committee shall be responsible to test all tackle, rod and fishing gear, and stamp thereon or make record thereof as to its official rating. Further, all grievances of members as to violation of the Articles, By-Laws or any rule or regulation of this Club shall be made to said committee, and they shall report their findings and recommendations to the Board of Directors.

Section 5. WEIGHING COMMITTEE. The President, with the consent of the Board of Directors, shall appoint a Weighing Committee of five (5) voting members, who, together with the members of the Board of Directors, will comprise the Weighing Committee, one of who shall be designated as Chairman. The Weighing Committee, or its designated representatives, shall be responsible for weighing all fish and preparing the necessary documents and certificates.

 

ARTICLE V
Corporate Records, Business and Reports

Section 1. RECORDS. The Club shall maintain adequate and correct accounts, books and records of its business and properties. All of such books, records and accounts shall be kept at its principal place of business in the State of California, as fixed by the Board of Directors from time to time.

Section 2. CHECKS, DRAFTS, ETC. All checks, drafts, or other orders for payment of money, notes, or other evidences of indebtedness, issued in the name of or payable to the Club, shall be signed or endorsed by such person or persons and in such manner as shall be determined from time to time by resolution of the Board of Directors.

Section 3. CONTRACTS, ETC.- HOW EXECUTED. The Board of Directors, except as in the By-Laws otherwise provided, may authorize any officer or officers, agent or agents, to enter into any contract or execute any instrument in the name of and on behalf of the Club. Such authority may be general or confined to specific instances. Unless so authorized by the Board of Directors' resolution, no officer, agent or employee shall have any power or authority to bind the Club by any contract or engagement, or to pledge its credit, or to render it liable for any purpose or to any amount.

Section 4. ANNUAL REPORT. The President for the last preceding yearshall, at the annual meeting of the members, make an annual report to the members, of the financial and general condition of the Club. 

 

ARTICLE VI
Certificates of Membership and Dues Card
Certificates of membership shall be of such form and device as the Board of Directors may designate, and shall state the name of the member and his class of membership thereon, and shall provide that they are nontransferable and that this is membership in a non-profit corporation. Every certificate of membership must be signed by the President and the Secretary-Treasurer and must bear the seal of this Club. Each member shall receive a dues card each and every year upon the payment of his dues to this Club.

 

ARTICLE VII
Corporate Seal
The corporate seal shall be circular in form and shall have inscribed thereon the name of the Club, the date of its incorporation and the word "California."

 

ARTICLE VIII
Amendment to By-Laws

Section 1. BY MEMBERS. New By-Laws may be adopted or these By-Laws may be repealed or amended at their annual meeting, or at any other meeting of the members called for that purpose, by a vote of not less than a majority of a quorum of the. Voting members, or by written assent of such members.

Section 2 .RECORD OF AMENDMENTS. Whenever an amendment or new By-Law isadopted, it shall be copied in the Book of By-Laws with the original By-Laws, in the appropriate place. If any By-Law is repealed, the fact of repeal, with the date of the meeting at which the repeal is enacted or written assent as filed, shall be stated in said book.

 

ARTICLE IX
Membership

Except as hereinafter provided, any person 16 years of age, who had been duly elected to membership by a majority vote of the Board of Directors, shall be eligible to become a member of this Club. However, each person so joining this Club shall first become an Associate Member, and after being duly qualified to become a voting member of this Club, said member shall become a member of one of the following classes:

Section 1. ASSOCIATE MEMBERS. Associate Membership shall be elected from among anglers in sympathy with the interests and policies of The Marlin Club and shall have the same privileges as have Active Members, with the exception of voting and holding office.

Section 2. CHARTER MEMBERS. Anglers who have joined the Club prior to November 1, 1931 shall be considered as Charter Members. Charter Members shall have the same status as Active Members. 

Section 3. ACTIVE MEMBERS. Anglers who have taken a forty (40) pound or over Tuna, Marlin Swordfish or Swordfish or tagged & released /released a billfish according to the Club rules as stated in the tag and release rules section 1 - 5 on any size Regulation Tackle after they have been duly elected to Associate Membership to the Club.

Section 4. HONORARY MEMBERS. The Board of Directors may from time to time elect to Honorary Membership for the period of one year those persons possessing qualifications deemed sufficient to warrant such action. Honorary Members shall have the same privileges as pertain to Associate Members.

Section 5. HONORARY LIFE MEMBERS. The Active Members may from time to time elect to Honorary Life Membership persons possessing qualifications deemed sufficient to warrant such action. Honorary Life Members shall not pay any dues and shall have the same privileges as pertain to Active Members.

Section 6. JUNIOR MEMBERS. A Junior Member is a Son or Daughter, Grandson or Granddaughter, under 16 years of age, of a Marlin Club Member. A Junior Member who is a Junior as of the first of a calendar year shall, for Club accounting and award presentation purposes, remain a Junior for the entire calendar year. A Junior who has previously caught a Regulation Marlin will not be charged with the regular initiation fee if he joins the Club as a Senior Member during the year in which he comes of age. Junior Members who become regular members by paying the dues during the year they come of age, shall be considered Active Members, if they have caught a regulation Marlin while a Junior Member.

Section 7. SUPPORTING MEMBERS. Supporting Members are nonvoting members who support the goals and mission of the Club. In consideration for their annual dues, Supporting Members shall receive a full page ad in the Club's annual yearbook.

Section 8. LIFE MEMBERS. To become a Life Member of the Club, an individual must first qualify as a member of the Club. If a member elects to become a Life Member prior to the period of May 19, 1989, he shall be a Charter Life Member. Life Memberships constitute a classification financial contribution, and will not effect the member's voting status. So long as the member remains a member of the Club, he will be exempt from annual dues.

Section 9. FAMILY MEMBERSHIP. Family Membership shall consist of husband and wife. Family membership shall be subject to membership as described in Section 1 and Section 3.

 

ARTICLE X
Club Buttons and Pins

Section 1. The Club Buttons shall be The Gold Marlin Swordfish Button, The Blue Marlin Swordfish Button, The Green Marlin Swordfish Button, The Red Marlin Swordfish Button, The White Marlin Swordfish Button, The Black Marlin Swordfish Button, The Orange Marlin Swordfish Button, The Light Blue Marlin Swordfish Button, The Purple Marlin Swordfish Button, The Tan Marlin Swordfish Button, The White Swordfish Button, The Black Swordfish Button, The Purple Swordfish Button, The Gold Tuna Button, The Blue Tuna Button, The Green Tuna Button, The Red Tuna Button, The White Tuna Button, The Black Tuna Button, The Orange Tuna Button, The Light Blue Tuna Button, The Purple Tuna Button, The Tan Tuna Button, The Gold Special Swordfish Button, and The Silver Special Award Button. 

Section 2. The Club Buttons shall be awarded to anglers who have qualified for the same and who shall have been, or who are, regularly elected to the Associate Membership as follows:

GOLD MARLIN SWORDFISH BUTTON: For Marlin Swordfish weighing two hundred (200) pounds or over, taken on Regulation Tackle.

BLUE MARLIN SWORDFISH BUTTON: For Marlin Swordfish weighing one hundred and seventy-five (175) pounds or over, taken on Regulation Medium Tackle.

GREEN MARLIN SWORDFISH BUTTON: For Marlin Swordfish weighing one hundred (100) pounds or over, taken on Regulation Light Tackle.

RED MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 3/6 Tackle.

WHITE MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 16 lb. test line.

BLACK MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation Three Thread Tackle.

ORANGE MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 8 lb. test line.

LIGHT BLUE MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 6 lb. test line.

PURPLE MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 4 lb. test line.

TAN MARLIN SWORDFISH BUTTON: For Marlin Swordfish of any weight taken on Regulation 2 lb. test line.

WHITE SWORDFISH BUTTON: For Broadbill Swordfish weighing two hundred (200) pounds or over ,taken on Regulation Heavy Tackle.

BLACK SWORDFISH BUTTON: For Broadbill Swordfish weighing one hundred and seventy-five (175) pounds or over, taken on Regulation Medium Tackle.

PURPLE SWORDFISH BUTTON: For Broadbill Swordfish of one hundred (100) pounds or over, taken on Regulation Light Tackle.

GOLD TUNA BUTTON: For Tuna weighing one hundred (100) pounds or over, taken on Regulation Heavy Tackle.

*BLUE TUNA BUTTON: For Tuna weighing eighty (80) pounds or over taken on Regulation Medium Tackle.

*GREEN TUNA BUTTON: For Tuna weighing sixty (60) pounds or over taken on Regulation Light Tackle.

*RED TUNA BUTTON: For Tuna weighing thirty (30) pounds or over, taken on Regulation 3/6 Tackle.

*WHITE TUNA BUTTON: For Tuna weighing twenty-five (25) pounds or over, taken on Regulation 16 lb. test line.

*BLACK TUNA BUTTON: For Tuna weighing twenty (20) pounds or over, taken on Regulation Three-Thread Tackle.

*ORANGE TUNA BUTTON: For Tuna of any weight taken on Regulation 8 lb. test line.

*LIGHT BLUE TUNA BUTTON: For Tuna of any weight taken on Regulation 6 lb. test line.

*PURPLE TUNA BUTTON: For Tuna of any weight taken on Regulation 4 lb test line

*TAN TUNA BUTTON: For Tuna of any weight taken on Regulation 2 lb. test line.

*The Marlin Club Tuna Button trophies shall be awarded only for Yellow Fin, Blue Fin, and Pacific Big Eye Tuna, that is, Albacore, Bonito, and other members of the Tuna family shall not be considered for the Tuna Button trophies.

GOLD SPECIAL BUTTON: For Broadbill weighing over five hundred (500) pounds, taken on Special Tackle.

SILVER SPECIAL AWARD BUTTON: To be awarded at the discretion of the Board of Directors for some special or outstanding catch or action on the part of the member.

Section 3. A member shall receive from the Club only one button for each class in which he shall properly qualify, except for the Silver Special Award Button.

Section 4. The Club Flag shall be a pointed burgee, the width of the hoist being two-thirds the length from the center of the hoist to the point. It shall have a white ground with a blue border on all three sides, and a BLUE MARLIN CLUB BUTTON design on the white ground.

Section 5. All Junior Members receive Club Buttons or Pins for catches made meriting them.

 

ARTICLE XI
Fees and Dues

Section 1 . There shall be a fee of Forty Dollars ($40.00) for membership in this Club, which shall include any tax applicable to such membership.

Section 2. The annual due of this Club shall be Eighty-Five Dollars ($85.00) which shalI be in addition to any embership fee. Notice of said dues shall be mailed to each member with the ballots for election of Directors, on or before the 1Oth day of January each year. Said dues shall become delinquent on the last day of February, and the Secretary-Treasurer shall mail to each delinquent member a copy of Article XI, Section 2, 3 and 6, of the By-Laws of this Club.

In the event said dues are not paid on or before the last day of March, said delinquent member shall be automatically terminated as a member of The Marlin Club and forfeit any and all property rights and privileges which said delinquent member may theretofore have acquired.

Section 3. REINSTATEMENT. Any member terminated from the Club for reason of non-payment of dues may be reinstated to the class of membership he held at the time terminated, provided: 
a) The membership is not closed because the maximum membership has been reached.
b) The delinquent member makes the following payments:
          (1) Ten Dollars ($10.00) to cover bookkeeping expenses, and
          (2) Current annual dues.

Section 4. SUPPORTING MEMBERS. The annual fee for Supporting members shall be established by the Board of Directors on or before the 10th day of January each year. Said dues shall be delinquent on the last day of March, and the Secretary-Treasurer shall mail to each delinquent Supporting Member a notice indicating that their status of Supporting Member has expired.

Section 5. LIFE MEMBERS. Life Members and Charter Life Members shall be exempt from annual dues.

Section 6. FAMILY MEMBERSHIP (Husband and Wife). The annual dues for Family Membership shall be One Hundred Sixty Dollars ($160.00) which shall include any tax applicable to such membership. The annual dues shall be in addition to any membership fee. Notice of said dues shall be mailed to each Family Membership with the ballots for election of Directors, on or before the l0th day of January each year. Said dues shall become delinquent on the last day of February, and the Secretary-Treasurer shall mail to each delinquent Family Membership a copy of Article XI, Sections 3, 6 and 7 of the By-Laws of this Club. In the event said dues are not paid on or before the last day of March, said delinquent Family Membership shall be automatically terminated as members of The Marlin Club and forfeit any and all property rights and privileges which said deliquent members may have acquired. 

Section 7. There shall be a fee of Sixty Dollars ($60.00) for Family Membership in this Club, which shall include any tax applicable to such membership.
